These Terms of Service (“Terms”) govern your use of the services provided by Future Pacing LLC, operating as Legacy Filings (“we,” “us,” “our”). By purchasing a service from us or submitting information through our website, you agree to these Terms in full.

1. What We Do

We provide company formation and compliance support services for non-US residents forming and maintaining US single-member LLCs, including LLC registration, EIN application, registered agent services, guided Stripe and US bank account applications, and federal compliance filings (Form 5472 and Form 1120). The specific services you receive depend on the package you purchase, as described on our website and in your order confirmation.

2. Not a CPA Firm or Law Firm

Future Pacing LLC, operating as Legacy Filings, is NOT a CPA firm, law firm, or enrolled agent. We do not provide legal advice, tax advice, or financial advice, and nothing on our website or in our communications with you should be interpreted as such. We prepare and file documents based on the information you provide. If you need advice on whether to form an LLC, how to structure your business, or your tax obligations, consult a licensed attorney, CPA, or enrolled agent in your jurisdiction.

3. Before You Purchase

Do not apply for our services unless you are certain you want to proceed. If you have questions about eligibility, timelines, or whether our services are right for your situation, contact us by email or book a call before purchasing. Once we begin work, filings, applications, and submissions to government agencies cannot be recalled, unsent, unfaxed, or unfiled. This is the basis for the refund policy below.

4. Payment

Full payment is due in full before any work begins. We do not offer installment plans. Prices are listed in US Dollars on our website; the price shown at the time of purchase is the price you pay.

5. Refund Policy

a) Our fault, or ineligible application (before filing). If we are unable to submit your application or filing due to a failure on our part, you receive a 100% refund. If we determine that you do not meet our published eligibility or onboarding requirements after you apply, you receive a 100% refund, less a non-refundable $100 eligibility review and processing fee. The current eligibility and onboarding requirements are published on our website and form part of these Terms by reference.

b) Client-requested cancellation, after we’ve applied. If your LLC formation has already been submitted and you request a refund, you receive a 50% refund, and we stop all remaining services under your package (EIN application, tax filings, and any other outstanding deliverables). No refund is available once your EIN has been applied for.

c) All other circumstances. Outside of (a) and (b) above, no refund is available.

d) Non-response cancellation. See Section 7(c) below for the specific refund terms that apply when a client’s non-responsiveness causes their process to be cancelled.

e) Government and third-party fees. State filing fees, registered agent fees, and any other third-party costs already incurred on your behalf are non-refundable under any circumstance, regardless of which refund tier above applies.

6. Unsuported Countries

We only provide services for applications from supported countries. If your country is not on our supported list, we will not be able to proceed with your order, and your submission may be cancelled.

The following countries are currently NOT supported: Afghanistan, Belarus, Burundi, Central African Republic, Chad, Democratic Republic of the Congo, Republic of the Congo, Cuba, Eritrea, Haiti, Iran, Iraq, Lebanon, Libya, Mali, Myanmar (Burma), North Korea, Palestine (State of), Russia, Somalia, Sudan, South Sudan, Syria, Ukraine, Venezuela, Yemen.

If we determine that you are a resident, citizen, or entity of any of the above jurisdictions, we may cancel your engagement and issue any refund, if applicable, in accordance with Section 5 (Refund Policy).

7. Liability

Our total liability to you, under any circumstance and arising from any claim, is capped at the total amount you paid us for the service in question. We will NOT be liable for any amount beyond what you paid. This includes, without limitation, any indirect, incidental, consequential, or special damages, lost profits, or penalties imposed by any government authority.

8. Your Responsibilities

a) Accuracy. You are solely responsible for the accuracy, completeness, and truthfulness of all information and documents you provide us. We rely entirely on what you give us; we do not independently verify your information. If a filing is incorrect because you provided incorrect or incomplete information, we are not liable for any resulting penalty, delay, or loss, and correction work will be billed separately.

b) Response time. You must respond to our requests for information, documents, or signatures within 24 to 48 hours. If you do not respond within this window, your process will be paused and your total deliverable deadline extended accordingly. We are not liable for any delay caused by your failure to respond.

c) Extended non-response. If, 60 days from your start date, your process remains incomplete because you did not respond to our requests, we may cancel your engagement. In that event:

– If your EIN has not yet been applied for, you forfeit further service and receive a 50% refund.

– If your EIN has already been applied for, no refund is available.

d) Fraudulent information. Submitting false, forged, or fraudulent information (including fake identity documents or financial records) is a material breach of these Terms. We bear no liability for any consequences arising from it, no refund is due for work already performed, we may terminate the engagement immediately, and we may report the matter to relevant authorities where legally required.

9. Indemnification

You agree to indemnify and hold Future Pacing LLC, operating as Legacy Filings, harmless from any claims, losses, damages, or legal fees arising from your breach of these Terms, your misuse of our services, or information you provided that was inaccurate, false, or misleading. This includes covering our reasonable legal fees incurred in defending any such claim.

10. Banking and Payment Processor Applications

We guide and support your application for a US business bank account and a Stripe account, including a website audit intended to improve your odds of approval. We do not control, and cannot guarantee, the outcome of these applications. Banks and Stripe make their own underwriting decisions and have final say. Our obligation is fulfilled once your application is properly prepared and submitted; approval or denial is outside our control and is not grounds for a refund under Section 5.

11. Government Processing Times

Some services depend on processing by government authorities (the IRS, state filing offices). We do not control and cannot guarantee how long these authorities take to process an application or filing. Estimated timelines on our website are typical, not guaranteed. Delays caused by a government authority are not a basis for a refund or a liability claim against us.

12. Force Majeure

Neither party is liable for a failure or delay in performance caused by circumstances beyond that party’s reasonable control, including but not limited to: IRS, FinCEN, or state agency outages or processing delays; postal or courier disruptions; government shutdowns; natural disasters; or war, civil unrest, or acts of any governmental authority. The affected party will notify the other as soon as reasonably practicable and take reasonable steps to resume performance.

13. Communication

Our primary communication channel is email. All formal requests, including cancellation and refund requests, must be sent in writing to [email]. We aim to respond to inquiries within 1–2 business days.

14. Intellectual Property

All documents we prepare on your behalf (formation documents, filings, agreements) are yours to use. Our website content, branding, and internal processes remain our property. You may not resell, redistribute, or white-label our services without our written consent.

15. Termination for Cause

Either party may terminate an engagement immediately, by written notice, if the other party provides materially false or fraudulent information, engages in abusive or threatening conduct, or commits a material breach of these Terms not remedied within 7 days of written notice. If we terminate due to your breach, no refund is due for work already completed and any outstanding fees remain payable.

16. No Guarantee of Business Outcomes

We form your company and handle your filings correctly and on time based on the information you provide. We do not guarantee any particular business outcome, including but not limited to bank or Stripe approval, tax savings, or business success. Nothing in our marketing, website, or communications should be read as such a guarantee.

17. Changes to These Terms

We may update these Terms from time to time. The version in effect at the time you purchase a service governs that engagement. The current version is always available on our website.

18. Entire Agreement

These Terms, together with your order confirmation, form the complete agreement between you and Future Pacing LLC for the services purchased, superseding all prior discussions or representations, whether spoken or written.

19. Severability

If any provision of these Terms is found invalid or unenforceable, that provision is severed and the remainder of these Terms remains in full effect.

20. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may transfer our rights and obligations in connection with a merger, acquisition, or sale of assets, with notice to you.

21. Governing Law

These Terms are governed by the laws of the State of New Mexico, USA. Any dispute arising from these Terms will be resolved first by good-faith negotiation and, if unresolved, by the courts of New Mexico, USA.
